These Terms and Conditions govern your access to and use of the website, digital forms, enquiry channels, project dashboards, communication channels, and services offered by Hexindecimal Services Private Limited, operating under the brand name Indecimal.

By accessing the Website, submitting an enquiry, booking a consultation, sharing project details, making a payment, using any project dashboard, or engaging with Indecimal in any manner, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you should not use the Website or avail our Services.

These Terms apply to general website usage and preliminary service engagement. For any specific construction, interior, renovation, commercial, maintenance, or project execution engagement, the signed proposal, quotation, work order, master agreement, project agreement, warranty document, maintenance plan, payment schedule, and other executed project documents shall prevail in case of conflict.

1. Definitions

For the purpose of these Terms:

"Company", "Indecimal", "we", "our", or "us" means Hexindecimal Services Private Limited, including its brand Indecimal, employees, directors, officers, consultants, agents, representatives, affiliates, and authorized partners.

"User", "Customer", "you", or "your" means any person, entity, property owner, prospective customer, contractor, vendor, partner, or visitor who accesses the Website, submits information, requests services, or enters into any engagement with Indecimal.

"Website" means Indecimal.com and any associated web pages, landing pages, forms, dashboards, mobile interfaces, portals, or digital systems operated by Indecimal.

"Services" include, as applicable, home construction, commercial construction, interiors, renovation, design coordination, architectural coordination, project management, contractor/vendor coordination, procurement coordination, approval assistance, financing assistance, project tracking, quality checks, handover support, maintenance support, and other related services offered by Indecimal from time to time.

"Project" means any construction, renovation, interior, commercial, or maintenance assignment for which the Customer engages or proposes to engage Indecimal.

"Project Documents" include quotations, proposals, BOQs, drawings, specifications, scope documents, payment schedules, invoices, agreements, work orders, quality reports, warranty documents, maintenance plans, handover documents, and any other written project-specific document.

"Contractor" or "Service Partner" means any architect, engineer, civil contractor, interior contractor, designer, consultant, supplier, vendor, lender, maintenance partner, approval consultant, or third-party professional involved in the Project.

"Platform" means any digital system, dashboard, software, application, report interface, communication system, or project tracking mechanism provided by Indecimal.

2. Eligibility

Use of the Website and Services is permitted only to persons who are legally competent to enter into contracts under applicable Indian law.

If you access the Website or engage with Indecimal on behalf of a company, partnership, family, trust, association, property owner, landowner, or other legal entity, you represent that you have the authority to act on behalf of such person or entity.

Indecimal may refuse, suspend, or discontinue access to the Website or Services if required ownership documents, identity documents, property records, authority proof, KYC information, approval documents, or other compliance information are not provided or are found to be incomplete, inaccurate, doubtful, fraudulent, or legally inadequate.

3. Nature of Indecimal's Services

Indecimal provides technology-enabled construction and project facilitation services for residential and commercial construction, interiors, renovation, and related services.

Depending on the Project and the applicable Project Documents, Indecimal may act as a construction company, project coordinator, service facilitator, design coordinator, contractor coordinator, technology platform, procurement coordinator, maintenance coordinator, or integrated service provider.

The exact nature of Indecimal's role, responsibilities, deliverables, exclusions, warranties, payment obligations, timelines, and liabilities shall be determined only by the relevant signed Project Documents.

No statement on the Website, advertisement, brochure, social media page, sales call, WhatsApp message, or preliminary discussion shall be treated as a final contractual commitment unless specifically incorporated into a signed written agreement, proposal, quotation, or work order issued by Indecimal.

4. Website Information Is Indicative

The Website may contain information relating to packages, prices, square-foot rates, construction quality, maintenance periods, structural warranty, delay compensation, escrow mechanisms, financing support, approvals, interiors, commercial projects, and project timelines.

Such information is provided for general awareness and marketing purposes only. It is not a binding offer, legal advice, engineering certification, architectural approval, title verification, tax advice, investment advice, municipal approval, structural certification, or guarantee of project feasibility.

Final pricing, timelines, scope, specifications, warranties, maintenance obligations, and deliverables shall depend on site inspection, soil condition, design requirements, built-up area, floor count, statutory approvals, customer selections, material specifications, technical feasibility, contractor availability, location, taxes, payment compliance, and the final signed Project Documents.

5. Enquiry, Consultation, and Onboarding

A User may submit an enquiry through the Website, phone, WhatsApp, email, social media, advertisement form, or any other approved channel.

Submission of an enquiry, booking of a consultation, sharing of project details, receiving a call from Indecimal, or receiving a preliminary estimate does not create a binding construction contract.

A binding Project engagement shall arise only after Indecimal has accepted the Project in writing and the applicable Project Documents have been executed, including scope, specifications, payment terms, timelines, responsibilities, exclusions, cancellation terms, and other commercial terms.

Indecimal reserves the right to reject or decline any Project at its discretion, including where the Project is not technically feasible, commercially viable, legally compliant, operationally serviceable, or aligned with Indecimal's service areas and internal policies.

6. User Information, KYC, and Property Documents

You agree to provide true, accurate, complete, and current information to Indecimal, including your identity details, contact information, property details, land documents, ownership details, project requirements, budget, timeline expectations, approval status, and any other information requested by Indecimal.

You represent that you have lawful ownership, possession, development rights, authority, or consent required to initiate discussions or engage services for the relevant property.

Indecimal may request documents including identity proof, address proof, property title documents, tax records, sanction plans, Khata/Patta records, encumbrance records, approval documents, power of attorney, loan documents, or other records required for due diligence, financing support, approval assistance, invoicing, legal compliance, or Project execution.

Indecimal shall not be responsible for any loss, delay, dispute, cost escalation, rejection, cancellation, legal claim, regulatory action, or third-party claim arising from incorrect, incomplete, misleading, forged, disputed, or withheld information provided by the User.

7. Quotations, Estimates, and Package Pricing

Any estimate, package rate, square-foot rate, BOQ, design cost, material specification, timeline, or quotation shared by Indecimal before final execution of Project Documents is indicative unless expressly stated as final and binding in writing.

Final Project cost may vary due to changes in design, built-up area, floor count, soil conditions, foundation requirements, structural requirements, material selections, brand upgrades, statutory fees, approval requirements, logistics, taxes, utilities, customer-requested changes, unforeseen site conditions, or changes in law.

A fixed-price commitment, zero-cost escalation commitment, or locked-price quotation shall apply only where expressly included in a signed Project Document and only to the agreed scope, specifications, assumptions, exclusions, and conditions stated therein.

Any work outside the agreed scope, including additional floors, design changes, premium material upgrades, additional approvals, extra civil works, utility shifting, hidden defects, customer-requested modifications, or third-party authority requirements, may be charged separately.

8. Project Scope and Change Requests

The final Project scope shall be governed by the applicable Project Documents.

Any change in design, area, material, layout, elevation, structural requirement, brand specification, timeline, approval requirement, site condition, or customer preference may result in revised pricing, revised timelines, or revised deliverables.

Indecimal may require written approval from the Customer before implementing material changes, design changes, or scope modifications.

Delays caused due to late approvals, delayed responses, indecision, repeated design iterations, non-payment, non-availability of documents, change requests, or customer-side dependencies shall not be treated as delay attributable to Indecimal.

9. Payments

All payments shall be made in accordance with the applicable invoice, quotation, payment schedule, work order, proposal, or Project agreement.

Payments must be made only through approved banking or digital payment channels. Cash payments may be refused unless specifically permitted by Indecimal in writing.

Taxes, statutory charges, government fees, approval charges, third-party professional fees, bank charges, payment gateway fees, and other applicable charges may be payable in addition to the quoted amount unless expressly included.

Indecimal may suspend consultation, design work, site mobilization, procurement, Project execution, dashboard access, handover, warranty support, or maintenance support if payments are overdue.

Delayed payments may attract interest, penalties, suspension of work, revised timelines, or termination, as specified in the Project Documents or applicable policy.

10. Escrow and Milestone-Based Payments

Where Indecimal offers an escrow-linked or milestone-based payment mechanism, such mechanism shall apply only if expressly included in the applicable Project Documents.

The escrow or milestone payment process shall operate according to the agreed payment schedule, approved banking process, third-party escrow arrangement, milestone certification method, and Project-specific terms.

Indecimal does not guarantee that escrow arrangements will be available for every Project, package, location, contractor, or payment structure.

Release of payments based on milestones may depend on site progress, customer approvals, engineer certification, dashboard updates, quality checks, payment compliance, third-party banking timelines, and the terms of the relevant escrow arrangement.

11. Cancellation and Refunds

Cancellation and refund requests shall be governed by Indecimal's Cancellation and Refund Policy, as updated from time to time, along with the applicable Project Documents.

A cancellation request must be submitted in writing from the Customer's registered email address or through another officially accepted written channel.

Indecimal incurs costs for consultations, site visits, technical evaluations, contractor alignment, surveys, design development, documentation, resource allocation, and mobilization. Therefore, deductions may apply if cancellation is requested after services have commenced.

Where a specific stage of work has started, the full charge for that stage may become applicable, and refunds may not be available for partially completed stages.

If a definitive agreement has been executed, cancellation, deductions, refund eligibility, outstanding dues, settlement, and release of documents shall be governed by that agreement.

Eligible refunds, if any, shall be processed only through electronic transfer and may be subject to execution of a settlement and release document.

If the Project falls under the Real Estate (Regulation and Development) Act, 2016 or any other applicable statutory framework, cancellation and refund rights shall be subject to such mandatory legal provisions.

12. Timelines and Delay Commitments

Any timeline displayed on the Website or discussed during preliminary conversations is indicative unless expressly incorporated into signed Project Documents.

Where Indecimal provides an on-time delivery commitment or delay compensation commitment, such commitment shall apply only to the specific Project, package, scope, exclusions, dependencies, and conditions recorded in the signed Project Documents.

Indecimal shall not be responsible for delays caused by customer-side dependencies, delayed payments, delayed approvals, design changes, repeated revisions, statutory approvals, utility issues, title disputes, neighbour objections, court orders, authority restrictions, weather, labour disruptions, material shortages, transport restrictions, force majeure events, third-party defaults, or any circumstance beyond Indecimal's reasonable control.

Delay compensation, if applicable, shall be calculated only in the manner stated in the relevant Project Documents and shall not apply automatically based on Website statements or promotional material.

13. Quality Checks and Project Monitoring

Indecimal may provide quality checks, progress reports, project tracking, dashboard updates, site reports, photographs, engineer updates, or milestone reports depending on the Project and package selected.

Quality-check counts, quality processes, and reporting formats mentioned on the Website are indicative and may vary depending on Project type, package, site conditions, construction stage, technical scope, and operational feasibility.

Quality checks are intended to improve transparency and execution standards. They do not replace statutory inspections, municipal approvals, third-party certifications, structural safety obligations, or professional engineering certifications unless expressly stated in the Project Documents.

14. Warranty, Structural Warranty, and Maintenance Support

Indecimal may offer structural warranty, zero-cost maintenance, AMC support, or post-handover support for certain packages and Projects.

Any warranty or maintenance commitment shall apply only if expressly stated in the signed Project Documents, warranty certificate, maintenance plan, handover document, or package terms applicable to the Customer.

Structural warranty shall generally be limited to covered structural elements expressly identified in the relevant warranty document. It shall not apply to defects caused by misuse, unauthorized alteration, poor maintenance, natural wear and tear, seepage due to customer negligence, third-party work, force majeure, design changes not approved by Indecimal, natural disasters, soil movement, adjacent construction, illegal modifications, or factors outside the agreed scope.

Maintenance support shall be subject to package eligibility, reporting timelines, usage conditions, exclusions, service availability, and maintenance protocols issued by Indecimal.

Website references to "10 years zero-cost maintenance" or "20-year structural warranty" shall not be interpreted as unconditional or universally applicable to every Project. The final written warranty and maintenance terms shall prevail.

15. Contractors, Vendors, Suppliers, and Third-Party Partners

Indecimal may work with contractors, architects, engineers, designers, consultants, suppliers, lenders, approval consultants, interior vendors, leasing partners, maintenance vendors, or other third parties.

Unless expressly agreed otherwise in writing, third-party goods and services may be governed by separate terms, manufacturer warranties, partner policies, lender terms, statutory requirements, and third-party limitations.

Indecimal shall not be responsible for independent representations, side commitments, unauthorized promises, cash dealings, discounts, warranties, or statements made by any contractor, vendor, supplier, employee, consultant, or third party unless expressly approved by Indecimal in writing.

Customers should not make any payment directly to a contractor, vendor, employee, consultant, or third party unless specifically instructed by Indecimal through an official written communication.

16. Financing and Approval Assistance

Indecimal may assist Customers with home loan coordination, financing documentation, approval guidance, and connection with banks, NBFCs, consultants, or other partners.

Such assistance is facilitative only. Indecimal does not guarantee loan sanction, loan disbursement, interest rate, eligibility, legal clearance, valuation approval, building sanction, occupancy certificate, Khata transfer, plan approval, or any government or bank approval.

All financing decisions remain subject to the policies and discretion of the relevant bank, NBFC, lender, authority, consultant, or regulator.

The Customer remains responsible for providing accurate documents, satisfying lender requirements, paying applicable fees, and complying with legal and regulatory obligations.

17. Commercial Construction and Leasing Assistance

For commercial construction, rental properties, PGs, shopping complexes, offices, or other commercial Projects, the final commercial scope shall be governed by the applicable Project Documents.

Indecimal may assist with tenant acquisition or connect property owners with leasing partners where such service is offered. Such support is facilitative only and does not guarantee tenant placement, rental income, occupancy rate, revenue generation, lease terms, or legal enforceability of any lease.

The Customer shall be solely responsible for legal review, lease documentation, tenant due diligence, tax compliance, licensing, commercial permits, fire safety approvals, trade licenses, and any other statutory requirements applicable to commercial use.

18. Interiors and Renovation Services

Interior design, renovation, space planning, custom finishes, modular work, furniture integration, and related services shall be governed by the applicable proposal, design document, BOQ, and Project Documents.

Interior and renovation timelines may vary due to design revisions, customer selections, material availability, site readiness, existing structure conditions, vendor availability, and customer approvals.

Existing furniture, hidden defects, concealed wiring, plumbing conditions, dampness, structural limitations, and prior construction quality may affect pricing and timelines.

19. Customer Responsibilities

The Customer shall:

  1. Provide complete, accurate, and lawful information.
  2. Ensure lawful ownership, possession, authority, or development rights over the Project property.
  3. Provide required documents, approvals, and decisions on time.
  4. Make payments as per the agreed schedule.
  5. Review and approve drawings, BOQs, specifications, material selections, and milestone requests within reasonable timelines.
  6. Avoid unauthorized changes, third-party interference, or direct instructions to contractors outside agreed processes.
  7. Ensure safe and lawful site access where required.
  8. Comply with applicable laws, municipal rules, zoning requirements, building regulations, and tax obligations.
  9. Use the Website, dashboard, reports, and communication channels lawfully.
  10. Not misuse, copy, distribute, or commercially exploit Indecimal's confidential or proprietary information.

Failure to comply with Customer responsibilities may result in delay, additional cost, suspension, termination, denial of warranty, or limitation of Indecimal's obligations.

20. Acceptable Use of Website and Platform

You agree not to:

  1. Use the Website or Platform for unlawful, fraudulent, misleading, abusive, or malicious purposes.
  2. Submit false enquiries, fake leads, competitor intelligence requests, or impersonated details.
  3. Upload harmful, defamatory, obscene, infringing, threatening, or illegal content.
  4. Interfere with Website security, servers, code, databases, or network systems.
  5. Use bots, scrapers, crawlers, automated tools, or data extraction methods without written permission.
  6. Reverse engineer, copy, modify, reproduce, or create derivative works from the Website or Platform.
  7. Harvest contact details, project details, pricing data, package information, or proprietary content for commercial use.
  8. Attempt unauthorized access to any account, dashboard, report, or internal system.

Indecimal may suspend or terminate access if misuse is suspected.

21. Intellectual Property

All rights, title, and interest in the Website, brand name, logo, content, designs, layouts, text, graphics, photographs, videos, dashboards, workflows, software, reports, package descriptions, quality processes, documents, and other materials belong to Indecimal or its licensors.

No User may copy, reproduce, distribute, publish, modify, commercially exploit, scrape, reverse engineer, frame, mirror, or create derivative works from Indecimal's intellectual property without prior written permission.

Project-specific drawings, renders, designs, estimates, BOQs, specifications, reports, and technical documents shared by Indecimal may remain confidential and proprietary unless otherwise agreed in writing.

Such documents may not be reused, circulated, implemented through third parties, or shared with competitors without Indecimal's written consent, especially where full payment has not been made.

22. Privacy and Data Protection

By using the Website or Services, you consent to the collection, storage, processing, and use of your personal data, project data, communication records, property details, and technical information for enquiry handling, consultation, project execution, customer support, analytics, marketing, fraud prevention, compliance, and business communication.

Indecimal's data practices are further governed by its Privacy Policy. In case of conflict between these Terms and the Privacy Policy on a data-processing matter, the Privacy Policy shall prevail to the extent of such conflict.

Indecimal may contact you through phone, WhatsApp, SMS, email, social media, digital forms, or other communication channels for service-related, transactional, marketing, and support purposes, subject to applicable law.

Indecimal does not sell personal information for monetary gain. However, data may be used for analytics, remarketing, retargeting, advertising, service improvement, and communication through authorized platforms, as described in the Privacy Policy.

23. Electronic Records and Communications

You consent to receive communications electronically, including through email, WhatsApp, SMS, phone calls, dashboard notifications, OTP-based verification, scanned documents, digital forms, and electronic acknowledgements.

Electronic records, including emails, chat records, call logs, dashboard entries, approvals, invoices, payment confirmations, digital submissions, and project updates, may be used as evidence of communication and transaction history to the extent permitted under applicable law.

24. Disclaimers

The Website and Platform are provided on an "as is" and "as available" basis.

Indecimal does not warrant that the Website, dashboard, forms, reports, or digital systems will always be uninterrupted, error-free, secure, virus-free, accurate, or available.

Indecimal does not guarantee that every Project will qualify for fixed pricing, delay compensation, escrow, maintenance support, structural warranty, financing, approvals, or specific package benefits.

Images, renders, videos, testimonials, project references, ongoing project listings, material illustrations, package descriptions, prices, and timelines are illustrative and may not represent the exact outcome of every Project.

Except as expressly provided in signed Project Documents, Indecimal disclaims all implied warranties to the fullest extent permitted by law.

25. Limitation of Liability

To the maximum extent permitted by law, Indecimal shall not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses, including loss of profits, loss of opportunity, loss of data, reputational damage, mental distress, business interruption, or third-party claims arising from use of the Website or preliminary service discussions.

For Website-only claims not connected to a signed Project agreement, Indecimal's total liability shall not exceed the amount directly paid by the User to Indecimal for the specific Website-enabled service giving rise to the claim, if any.

For Project execution matters, liability shall be governed by the applicable signed Project Documents.

Nothing in these Terms shall exclude liability that cannot be excluded under applicable Indian law.

26. Indemnity

You agree to indemnify, defend, and hold harmless Indecimal, its directors, officers, employees, affiliates, agents, contractors, partners, and representatives from and against any claims, losses, damages, liabilities, costs, penalties, proceedings, or expenses arising out of:

  1. Your breach of these Terms.
  2. False, incomplete, misleading, or unlawful information provided by you.
  3. Property title disputes or ownership defects.
  4. Unauthorized instructions given to contractors or third parties.
  5. Non-payment or delayed payment.
  6. Violation of applicable laws, approvals, or regulations.
  7. Misuse of the Website, Platform, dashboard, reports, or confidential information.
  8. Infringement of third-party rights.
  9. Any claim arising from customer-side changes, omissions, negligence, or unauthorized modifications.

27. Suspension and Termination

Indecimal may suspend or terminate access to the Website, Platform, dashboard, enquiries, onboarding, consultation, Project services, warranty support, or maintenance support if:

  1. You breach these Terms or Project Documents.
  2. You provide false or incomplete information.
  3. You fail to make payments on time.
  4. You misuse the Website or Platform.
  5. You engage in abusive, threatening, unlawful, or fraudulent conduct.
  6. The Project becomes legally, technically, commercially, or operationally unviable.
  7. Continuing the engagement creates legal, safety, compliance, reputational, or financial risk for Indecimal.

Termination shall not affect accrued payment obligations, confidentiality obligations, intellectual property rights, indemnity rights, dispute resolution provisions, or any clause intended to survive termination.

28. Force Majeure

Indecimal shall not be responsible for delay, non-performance, cost increase, suspension, or failure to perform obligations caused by events beyond its reasonable control, including natural disasters, heavy rain, floods, fire, earthquakes, pandemics, epidemics, labour unrest, strikes, material shortages, transport restrictions, war, terrorism, riots, civil disturbances, government orders, court orders, regulatory changes, utility failures, cyber incidents, banking delays, third-party defaults, or acts of God.

Timelines and obligations affected by force majeure events shall be extended or modified as reasonably required.

29. Compliance With Law

Users agree to comply with all applicable central, state, and local laws, rules, regulations, building codes, zoning rules, tax laws, labour laws, environmental rules, municipal requirements, RERA requirements, fire safety requirements, and other statutory obligations applicable to the Project.

Indecimal may refuse, suspend, or terminate services if a Project is found to be unlawful, non-compliant, disputed, unauthorized, unsafe, or in violation of applicable regulations.

Nothing in these Terms limits any non-waivable rights available to consumers under applicable law, including the Consumer Protection Act, 2019, or rights available under RERA where applicable.

30. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to mandatory consumer protection laws, RERA provisions, or any specific dispute resolution clause in signed Project Documents, courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising from these Terms, Website usage, or general service engagement.

Project-specific agreements may provide for arbitration or another dispute resolution mechanism. In such cases, the dispute resolution mechanism in the signed Project Documents shall prevail.

31. Arbitration

Unless otherwise stated in the applicable Project Documents, any dispute arising out of these Terms or non-project Website usage may be referred to arbitration in Bengaluru under the Arbitration and Conciliation Act, 1996.

The arbitral tribunal shall consist of a sole arbitrator appointed in accordance with applicable law. The language of arbitration shall be English.

The arbitration proceedings shall be confidential. The award shall be final and binding on the parties.

Each party shall bear its own costs unless otherwise determined by the arbitrator.

32. Changes to Terms

Indecimal may modify these Terms from time to time. Updated Terms may be posted on the Website and shall become effective from the date stated in the updated version.

Continued access to or use of the Website or Services after such update shall constitute acceptance of the revised Terms, to the extent permitted by law.

Material changes affecting ongoing signed Projects shall be governed by the applicable Project Documents and mandatory law.

33. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect.

If a provision can be made enforceable by deleting or modifying part of it, such deletion or modification shall be deemed to have been made to the minimum extent necessary.

34. Assignment

You may not assign, transfer, license, or delegate your rights or obligations under these Terms without Indecimal's prior written consent.

Indecimal may assign or transfer its rights and obligations to its affiliates, group companies, successors, acquirers, or business transferees, subject to applicable law.

35. No Waiver

Failure by Indecimal to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

Any waiver must be in writing and signed by an authorized representative of Indecimal.

36. Entire Understanding

These Terms, together with the Privacy Policy, Cancellation and Refund Policy, and applicable Project Documents, constitute the understanding between you and Indecimal regarding Website usage and general service engagement.

For Project execution, the signed Project Documents shall prevail over these general Terms in case of conflict.
